Yes, a 15 stud head will work on a 12 stud block, But you have to plug the three 3/8 diameter stud holes with a cork.
Unless your are the lead horse the scenery never changes!!

would it be easir to just buy a rebilt wc head.. since the wd head we have has like 6 stuck valves. he said the wd head was rebuilt but it sat outside for awhile and is rusted.. or how much do you think it would cost to rebuild the wc head..?

Depends how old of WD we are talking.  The older WD should be the same head as a WC.  I believe only the newer WD's had the three 3/8 holes.  Old WD had a 3 inch tall head same as WC, newer had a 4 inch which would require you to get longer studs, or headbolts.

The early WDs (up until "Engine" ser.#WD289001) used the 3" head like the WC.
The change occured sometime in mid 1951.

All you need is the longer studs and it'll go right on.  Like someone else said, cork the 3/8" holes and your good to go.  FOr the record, a WC and WD are both 201.  There was about 5 horse difference between them, I think.  The WD45 was a 226 from the 1/2" more stroke.  Anything in the W series will swap into another with the acception of the early year WC's had smaller main journals.
